These business terms apply to all B2B sampling and bulk orders placed with Kanchan Cashmere Industries Pvt. Ltd., Kathmandu, Nepal, for cashmere and cashmere-blend knitwear supplied to boutique and luxury brands worldwide.
They work together with your Proforma Invoice and any signed Business cum Delivery Agreement to define how we collaborate from development through delivery.
- Scope: sweaters, cardigans, accessories and related knitwear manufactured under the Kanchan Cashmere label or as private label.
- MOQ: 30 pieces per style and 10 pieces per colour, unless a different quantity is agreed in writing for a specific program.
- Sampling: proto and development samples normally follow a 7–14 working day window once yarn is ready, always subject to yarn availability and seasonal load.

Sampling is the technical foundation for every season. All protos and SMS are produced according to the same knitting, linking and washing discipline used in bulk production, so that what is approved in development can be repeated at scale.
- Sampling requests: must be accompanied by clear tech packs, measurements, reference images or physical samples where relevant.
- Yarn readiness: lead times are counted from the date when agreed yarn quality, shade and quantity are available in our factory.
- Proto samples: focus on fabric behaviour, fit and construction feasibility. Minor aesthetic adjustments may be refined at SMS stage.
- SMS / size sets: are treated as production references. Any changes requested after SMS approval may affect costing, timeline and feasibility.
Where sampling costs are chargeable, they are stated clearly in advance and may be credited against bulk orders at our discretion for confirmed programs.

All prices are quoted in United States Dollars (USD) on an FOB, FCA or other agreed Incoterm basis, ex-Kathmandu, Nepal, unless otherwise specified in writing.
- Unit prices: are based on confirmed yarn quality, gauge, construction, make complexity, workmanship time and agreed order quantity.
- Currency: invoices are issued in USD. Any bank charges, intermediary fees or exchange losses on the buyer side are the buyer's responsibility.
- Validity: unless stated otherwise, quotations and costings remain valid for 30 days from the date of issue and may be revised thereafter in line with yarn, labour or logistics changes.
- Re-costing: any major change in design, yarn quality, gauge or quantity may require a revised costing and updated Proforma Invoice before production can proceed.

Clear payment discipline protects both the buyer's calendar and the stability of our production line. Standard terms are defined in your Proforma Invoice and / or Business cum Delivery Agreement.
- Standard terms: for most buyers, 50% advance payment with order confirmation and 50% balance before shipment or against shipping documents, unless agreed otherwise in writing.
- Bank details: are provided on every Proforma Invoice. Payments must be made only to the official Kanchan Cashmere Industries Pvt. Ltd. bank account.
- Credit terms: any extended terms beyond standard arrangements are subject to management approval and a proven payment history, and may be withdrawn at any time for future orders.
- Late payments: delayed balances may impact future production booking, shipment release and prioritisation of subsequent programs.
Production, finishing and dispatch will pause if advances or agreed instalments are not received within the stated timelines.

Lead times are always calculated from the later of yarn readiness and receipt of the agreed advance payment. Indicative timelines are shared during development and reconfirmed at order stage.
- Standard bulk lead time: typically 30–45 working days from PP approval and full yarn availability, depending on gauge, complexity and order size.
- Shipping method: DHL Express, FedEx, Aramex or air cargo / consolidated freight, according to shipment size and agreed Incoterms.
- Delays beyond our control: customs inspections, carrier disruptions, political events, natural disasters or other force majeure circumstances are not considered a breach of contract.
- Communication: if any material delay is foreseen, we will inform the buyer promptly and propose a revised delivery window wherever possible.
Any request to accelerate production or delivery will be evaluated against real capacity, and surcharges may apply where premium logistics are required.
6. Quality, AQL & Claims

All shipments are produced under a disciplined quality system aligned with AQL 2.5 standards for luxury knitwear. Workmanship, measurements, shade continuity, labelling and packing are checked at defined stages of the production line.
- AQL standard: unless stated otherwise in writing, finished goods are inspected internally to AQL 2.5, with records maintained for key lots.
- Inline control: measurement checks are performed pre-wash and post-wash; visual checks are performed after linking, washing and final pressing.
- Claims window: buyers must notify Kanchan Cashmere in writing of any quality concern within 14 days of receipt of goods, supported by photos, quantities and detailed description.
- Resolution: solutions may include repair, replacement, credit note or other mutually agreed remedy, depending on the nature and scale of the issue.
Goods that have been altered, washed, re-labelled or sold at retail before a claim is raised may limit the options available for resolution.
7. Design, IP & Governing Law

We treat all design information, measurements and confidential business data received from buyers with discretion and professional care. Likewise, Kanchan Cashmere's own technical know-how and internal systems remain the intellectual property of the factory.
- Design ownership: unless agreed otherwise, brand-owned designs, logos and trademarks remain the property of the buyer. Kanchan Cashmere will not share buyer-specific designs with other clients.
- Internal developments: factory-developed blocks, constructions, knitting programs and process documents remain Kanchan Cashmere IP and may be used across buyers in non-conflicting ways.
- Confidentiality: both parties agree to handle non-public information relating to costings, supplier relationships and trade terms with appropriate confidentiality.
- Governing law: unless a different jurisdiction is agreed in a signed contract, these business terms are governed by the laws of Nepal, with any dispute subject to the competent courts or arbitration framework specified in the Business cum Delivery Agreement.
By placing a sampling or bulk order with Kanchan Cashmere, the buyer confirms that they have read, understood and accepted these Terms & Conditions alongside the relevant Proforma Invoice and any separate written agreement.
